NOTICE OF SALE
PLEASE TAKE NOTICE that, in accordance with applicable provisions of the Uniform Commercial Code as enacted in the State of New York, by virtue of certain Event(s) of Default under that certain Amended Loan Agreement, dated April 10, 2025, amending Amended Loan Agreement dated November 7, 2024, which amended Loan Agreement dated June 17, 2024 ("Loan Agreement"), between 2 FOREST PARK LANE LLC, a New York limited liability company, as Borrower ("Debtor"), and TS LENDER LLC, a Delaware limited liability company, as Agent and Lender ("Secured Party"), Secured Party will offer for sale at public auction all of the Secured Party's right, title and interest in and to (a) 90,672 Class B Units issued by Debtor ("Pledged Equity Interests"), and (b) certain related rights and property relating to the Interests (collectively, (a) and (b) are the "Collateral") owned by Debtor. The public sale (the "Sale") will take place at 2:00 p.m. EST on September 24, 2026, remotely, via the link below or by any other web-based video conferencing program selected by Secured Party. Secured Party's understanding is that the principal asset of Debtor is the leasehold interest in that certain premises known as 719 Seventh Avenue a/k/a 174 West 48th Street, New York, NY and designated as Block 1000 Lot 61 as shown on the Tax Map of the City of New York, County of New York, under and pursuant to the provisions of that certain Agreement of Lease, dated April 16, 2024, between AMWB 719 LLC, as landlord ("Landlord"), and Debtor, as tenant (as amended, modified, extended and supplemented from time to time, the "Lease"). Debtor is the holder of an Adult Use Retail Dispensary License issued by the New York State Office of Cannabis Management bearing the license number OCM-RETL-24-000254 ("License"). This Sale of the Collateral involves the sale of the Pledged Equity Interests and does not involve the direct sale of (i) Debtor's leasehold estate under the Lease or (ii) the License.
Paul E. Saperstein Co., Inc. ("Saperstein"), under the direction of Paul Cotto, Auctioneer (the "Auctioneer"), will conduct the Sale in respect of an indebtedness with an unpaid principal balance as of July 31, 2026, in the approximate amount of $9,698,703.63, together with interest thereon and other sums due under the Loan Agreement, subject to all additional costs, fees and disbursements permitted by law. The Secured Party reserves the right to bid including by credit bid.

The Collateral will be sold to the highest qualified bidder; provided, however, that Secured Party reserves the right to cancel the Sale in its entirety, or to adjourn the Sale to a future date. Interested parties who intend to bid on the Collateral should contact Secured Party's broker, Saperstein, at c/o Paul Cotto, Vice President, Phone: (617) 227-6553, Email: pcotto@pesco.com to receive the Terms of Public Sale and bidding instructions. Upon execution of a standard confidentiality and non-disclosure agreement, additional documentation and information will be made available.
A deposit of $100,000.00 USD will be required by wire transfer to bid on the asset(s.) Deposit is due by 5PM on September 23, 2026 in order to qualify for bidding.
